CONTRACT.
No. ____
Bruxelles " " April 1991
The Joint Venture "CRESP", Moscow, USSR, hereinafter
referred to as "CRESP", on the one hand, and "Pronto Corp.",
Bruxelles, Belgium, hereinafter referred to as
"Client", on the other hand, agreed on the following items:
1. The Client with the assistance of "CRESP" organizes and
holds an exhibition of its products in the Commercial Center of
"CRESP" J.V. at the Exhibition of Economic Achievements,
Moscow, USSR.
2. The exhibition will be starting on February, 20, 1992 till
March, 5, 1992.
Working hours:
10.00 a.m. 6 p.m. Moscow time.
The exhibition shall be mantled on february,17 - February
19, 1992 and dismantled on March, 6-7, 1992.
The opening ceremony will be hold on February, 20, 1992,
at 12 o'clock a.m. Moscow time.
The procedure of the opening ceremony is to be agreed by the
Parties of the Present Contract no later than 2 weeks before the
day of the opening.
The Press Conference on the occasion of the opening shall be
held on February, 20, 1992.
The Presentation on the occasion of the opening shall be
held on February, 20, 1992.
The admittance to the exhibition shall be organized on the
basis of issuing personal invitations, distributed by "CRESP"
according to the agreed upon invitation list.
3. In accordance with articles 1 and 2 of the Present
Contract "CRESP" shall:
3.1. Offer the Client 400 sq.m. of space for the exhibition
from February, 17 till , March 7, 1991 according to the
estimation
400 sq.m. x 20 days x 13.00 US dollars = 104,000.00 US dollars.
This price for the space includes:
- "CRESP" organization expenses;
- the cost of electricity supply, water supply, heating and
ventilation;
- the cost of security;
- the cost of cleaning the exhibition territory and the
inside of the pavilion;
- the cost of garbage cleaning;
- the cost of invitations issued to the lists agreed upon by
the Parties;
- the payment for the services of the pavilion's staff
during 8 working hours a day.
3.2. Offer assistance to and at the expense of the Client in
performing all kind of work including the assembly and the
decoration of the stands, design, artistic work, the work to
mantle and dismantle the constructions at the cost of 100 US dollars per
sq.m. of exhibition space (400 sq.m.).
400 sq.m. x 100 US dollars = 40,000.00 US dollars
This price includes:
- the design of the exposition;
- decoration, artistic work;
- lease of construction;
- lease of electric equipment;
- mantling and dismantling of constructions;
- lease of carpeting;
- advertising on the front "Moving Lights" of the pavilion;
- advertising on the territory of the exibition.
3.3. All the additional services, not mentioned in the
articles 3.1 and 3.2 such as advertising on TV and radio, in
newspapers, organization of presentation, press conference,
services of interpreters, transportation and other services shall
be paid for separately according to addendum signed and "CRESP"'s
invoices.
4. In accordance with articles 1 and 2 of the Present
Contract the Client shall:
4.1. Present the following documents to "CRESP":
- booklets and the list of equipment to be exhibited in 3
copies with franco-stand prices mentioned for each of the
exhibits before February 1, 1992;
- list of services to be rendered by "CRESP" before February,
1, 1992;
- 3 copies of the list of goods to be brought to the
exhibition by the Client apart from the exhibits before
February 1, 1992
The above mentioned documents should be submitted to "CRESP"
in both Russian and English.
4.2. To transport the exhibits at its own expenses before
the mantling of the exhibition begins.
If the exhibits are supplied before the term of rent starts
the Client shall carry all the expenses for storing the
equipment.
4.3. To submit to "CRESP" before February, 1, 1992, the list
of people to be sent to work at the exhibition indicating - first
and second name, date and place of birth, passport data, term of
work at the exhibition, rank, the country that issued visas and
the name of the tourist company.
4.4. To send by the time of mantling the exhibition the
authorized representative of the company to solve all
organizational and financial issues concerning the exhibition.
The name and the rank of this representative should be
indicated in written form before February, 1, 1992.
4.5. To insure before the opening of the exhibition its
civil responsibility for the damage to health and property of the
visitors, to insure rented exhibition, auxiliary and storage
space from the risk of fire for the time of mantling, work and
dismantling of the exhibition.
4.6. Render assistance to "CRESP" in performing mantling and
dismantling the exhibition in the terms set in article 2 of the
present Contract.
4.7. To follow safety regulations, fire, sanitary and
carantine rules.
4.8. To vacate exhibition space before March, 7.
If the space is not to be vacated in due time the Client shall
pay a fine for every day in triple amount of daily rent, defined
in article 3 of the present Contract.
4.9. To idemnify "CRESP" all the losses that are due to the
Client's fault.
4.10. Not to delegate the rights and duties determined in
the Contract to the third Parties without the written approval of
"CRESP".
5. All the events of peculiar scientific-technical character
such as presentation of reports, projecting of movies,
distribution of advertising and other literature of these
products can be carried out only after the approval of "CRESP" and
only if these events go in line with the purposes and the content
of the exhibition.
6. To manage the services and all kinds of work determined
by the present Contract "CRESP" appoints the Manager of the
exhibition and his staff.
7. The services of "CRESP" determined in article 3.2 of the
present Contract are rendered on the basis of written orders
signed by an authorized representative of the Client.
8. The Client shall pay for all the services rendered by
"CRESP" and determined in article 3.1 and 3.2 of the present
Contract in the following way:
8.1. The Client shall transfer
8.1.1. According to "CRESP"'s invoice send by fax 30% of the
total cost of the contract as advance payment for the exhibition
- 43,200.00 US dollars before January, 20 to "CRESP"'s account.
8.2. If the expenses of "CRESP" to render services exceed the
amount of the advance payment determined in article 8.1.1 "CRESP"
has the right to stop rendering services to the Client before
the additional sum of money to ensure the payment for the
services is transferred to the account of "CRESP".
8.3. Every invoice issued by "CRESP" and not covered by the
advance payment should be paid by the Client within 30 days from
the date "CRESP" expedition services passed the invoice to the
Client.
The Client should also inform "CRESP" of the requisites of the
transfer.
The delay in payment shall bring about the fine in the
amount of 0,05% of the invoice a day but not more than 15% of the
total amount of not paid invoices.
8.4. The amount of the advance payment transferred by the
Client to "CRESP"'s account and not used after "CRESP" has issued all
the invoices for the services rendered during the work of the
exhibition shall be returned by "CRESP" to the account of the
Client in the currency of payment.
8.5. Final payment for the exhibition held shall be made by
the Client on the basis of the last invoice from "CRESP".
The Client shall inform "CRESP" in written form on finalizing
payments.
9. "CRESP" shall carry no responsibility for the loss or
damage of the exhibits or other valuable goods that belong to the
Client and for the damage to the Client's staff working at the
exhibition or its property.
The Client shall carry responsibility based on his activity
on organizing and holding the exhibition under Soviet
legislation.
10. The refusal of the Client to hold the exhibition or to
rent part of the exhibition space before February, 1, 1992 shall
bring about a fine the Client is supposed to pay "CRESP" in the
amount of 50% rent for the refused space; - after the above
mentioned date the Client shall pay 100% rent.
11. In case the exhibition is postponed due to the
circumstances of force-majeur responsibilities of the parties
according to the present Contract shall no longer be valid.
"CRESP" shall pay back the Client a sum he paid to organize
the exhibition in accordance with article 8.2 of the present
Contract, excluding the sums used according to the order of the
Client.
12. The suit term is 1 years. This term shall start from the
day "CRESP" issues its last invoice.
13. All disputes and conflicts that may arise from the
present Contract and can not be solved peacefully, shall be
considered by the Court of Arbitration with the USSR Chamber of
Commerce on the basis of the standard procedure.
The decision of the above mentioned Court of Arbitration
shall be final and obligatory for both parties of the Contract.
14. Signed in Bruxelles " " May 1991 in 2 copies in
the English language for each Party of the Contract.
The present Contract shall become valid the day it is signed
by both Parties.
